Terms of Service

1. Agreement

These Terms form a binding agreement between you (an individual or the business you represent) and AM Technexus Labs (“AM Technexus,” “we,” “us,” or “our”), based in Tamil Nadu, India.

If you use the Services on behalf of a company, you confirm you have authority to bind that company.

2. Our services

We provide business software and related services, including but not limited to NexusPOS, NexusAI, NexusBilling, NexusApartments, NexusRevu, NexusBusiness Suite, NexusSEO+, and NexusPlay. Features may vary by product and plan. We may update, add, or remove features to improve the Services.

3. Accounts and access

• You must provide accurate account and business information
• You are responsible for keeping login credentials confidential and for activity under your account
• Notify us promptly at support@amtechnexus.com if you suspect unauthorised access
• We may suspend access if we reasonably believe there is misuse, non-payment, or a security risk

4. Acceptable use

You agree not to:

• Use the Services for unlawful, harmful, or fraudulent purposes
• Attempt to disrupt, reverse engineer, or gain unauthorised access to our systems
• Upload malware or content that infringes others’ rights
• Spam, harass, or misuse messaging features (including WhatsApp-related workflows)
• Resell or sublicense the Services except as expressly allowed in a written agreement with us

5. Your data and content

You retain ownership of the business data and content you submit to the Services (“Customer Data”). You grant us a limited licence to host, process, and display Customer Data only as needed to operate the Services and as described in our Privacy Policy.

You are responsible for the accuracy of Customer Data and for having the rights and consents needed to use it in the Services (for example, customer phone numbers used for WhatsApp updates or booking notifications).

6. Fees and payment

Paid plans are priced as agreed in a quote, order form, or invoice. Unless stated otherwise, fees are due as invoiced and are non-refundable except where required by law or expressly agreed in writing. We may suspend Services for overdue amounts after notice.

Taxes (including GST, where applicable) may be charged in addition to listed fees.

7. Third-party services

The Services may integrate with third parties such as WhatsApp, Google, payment gateways, or hosting providers. Those services are governed by their own terms. We are not responsible for third-party outages or policy changes outside our control.

8. Intellectual property

We and our licensors own the Services, software, branding, and related intellectual property. These Terms do not transfer ownership to you. You may not copy, modify, or create derivative works of our software except as allowed by law or written licence.

9. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

10. Limitation of liability

To the fullest extent permitted by law, AM Technexus will not be liable for indirect, incidental, special, consequential, or lost-profit damages. Our total liability arising out of or relating to the Services will not exceed the fees you paid us for the affected Service in the three (3) months before the claim.

11. Termination

You may stop using the Services at any time. Either party may terminate a paid subscription as set out in the applicable order or agreement. On termination, your right to access the Services ends, and we may delete or deactivate Customer Data after a reasonable wind-down period, subject to legal retention requirements.

12. Governing law

These Terms are governed by the laws of India. Courts in Tamil Nadu, India shall have exclusive jurisdiction, subject to any mandatory consumer protections that apply.

13. Changes

We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date. Continued use after changes take effect constitutes acceptance.
